Robbins DiMonte attorneys Robert E. Harig and Jeffrey S. McDonald represented an HVAC manufacturer representative in the sale of the business to a strategic buyer. The $2.5 million transaction was structured as a partial asset sale and a partial sale of personal goodwill. The transaction included the negotiation of a two separate purchase agreements, a purchase price allocation schedule, and a trade name license agreement.
